These Terms of Service ("Terms") govern your use of fireshields.com (the "Site") and any purchase of FireFoil™ products you make through it. The Site is operated by Firezat, Inc. dba FireFoil™ ("FireFoil™," "FireShields," "we," "us," or "our"). By using the Site or placing an order, you agree to these Terms, our Privacy Policy, and our Waiver and Release of Liability. If you do not agree, do not use the Site or purchase our products.
1. What FireFoil™ is, and what this Site is
FireFoil™ is an aluminized wildfire structure shield: a protective material designed to help reduce the risk of wildfire damage by reflecting radiant heat and helping block embers and burning debris. It is a protective aid, not a guarantee. No product can make a structure fireproof, and outcomes depend on many factors outside our control, including fire behavior, weather, and the completeness and correctness of installation.
FireShields is the authorized FireFoil™ distribution channel for homeowners and commercial property owners, and this Site is where those customers buy FireFoil™ products. firefoil.com is the manufacturer's information site and does not sell products. Insurers, carriers, and MGAs are served by Wildfire Arsenal (wildfirearsenal.com), and government and agency buyers by Firezat (firezat.com), each under its own terms.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract to purchase. If you purchase on behalf of an organization, you represent that you are authorized to bind that organization.
3. Orders, pricing, and payment
Prices are shown in US dollars and may change at any time. We may correct errors and refuse or cancel any order (including after it is placed) in the event of a pricing or availability error or suspected fraud. Payment is processed by our payment providers, and buy-now-pay-later options may be offered through Affirm, subject to Affirm's approval and terms. Applicable taxes and shipping are calculated at checkout.
4. Shipping and delivery
We ship through UPS. UPS services and prices are generated at checkout for the exact cart, package, origin, and destination, so the services shown can differ from order to order. Shopify may omit an expedited UPS service when it estimates that UPS Ground will meet the same delivery window, or when UPS does not return an eligible quote for that package, origin, and destination. Checkout may not display the reason a service is excluded. If you require a specific UPS service or delivery speed and it is not shown, contact FireShields before placing the order so alternatives can be reviewed.
Calculated shipping prices include a 10% shipping and processing charge. Shipping terms, timeframes, and costs (including freight for heavier rolls) are described at checkout and in our shipping information. Risk of loss passes to you upon delivery to the carrier unless applicable law requires otherwise.
5. Returns
Consistent with our Waiver and Release of Liability, our sole and exclusive remedy for a product defect is replacement of unused product on proof of defect within ninety (90) days of the purchase date, and no refund is issued as a remedy for a product defect. Separately, an order may be cancelled for a refund at any time before it enters fulfillment or fabrication. Once an order enters fulfillment or fabrication it cannot be cancelled. Because our products are made to order, we do not accept returns for convenience.
6. Waiver and release
Completing a purchase requires you to review and accept our Waiver and Release of Liability. You accept it online before your order proceeds to checkout. That acceptance is part of these Terms. If anything in these Terms conflicts with the Waiver and Release, the Waiver and Release controls. Read the full release at fireshields.com/waiver.
7. Intellectual property
The FireFoil™ and FireShields names, the Site, and its content, including software, text, graphics, logos, images, and design, are owned by us or our licensors and are protected by intellectual property laws. "FireFoil™" is a mark of Firezat, Inc. dba FireFoil™. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Site for your personal, non-commercial use in accordance with these Terms. You may not copy, reproduce, distribute, or exploit our marks or content without our written permission.
8. Acceptable use
You agree not to misuse the Site, interfere with its operation or security, use automated systems to overload it, or use it for any unlawful, harmful, or fraudulent purpose.
9. Informational content; no professional advice
Content on the Site, including coverage calculators, research summaries, installation guidance, and general information, is provided for information only. It is not engineering, safety, insurance, or legal advice, and it is not a warranty of performance. Always follow the instructions of fire officials and emergency authorities, and never delay evacuation.
10. Disclaimer of warranties
Except for any express limited warranty we provide in writing, the products and the Site are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that any structure will survive a wildfire. Proper, complete, and timely installation is your responsibility.
11. Limitation of liability
To the fullest extent permitted by law, Firezat, Inc. dba FireFoil™ and its distributors, retailers, affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, and our total liability for any claim relating to a product will not exceed the amount you paid for that product.
12. Indemnification
You agree to defend, indemnify, and hold harmless FireFoil™ and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the products or the Site, your violation of these Terms, or your violation of any law or third-party right.
13. Governing law and disputes
These Terms and any dispute arising from your use of the Site or products are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Clark County, Nevada, and the parties submit to the jurisdiction and venue of those courts.
14. Changes to these Terms
We may update these Terms from time to time. We publish the new version here with a new version number and effective date. The Terms in effect when you place an order apply to that order.
15. Miscellaneous
Severability: if any provision is held invalid, the remaining provisions remain in effect. Waiver: our failure to enforce any provision is not a waiver. Entire agreement: these Terms, with our Privacy Policy and Waiver and Release, are the entire agreement regarding the products and supersede prior understandings. Assignment: you may not assign your rights without our consent; we may assign freely. There are no third-party beneficiaries.
